Artikel 1 – Toepasselijkheid

  1. Deze voorwaarden zijn exclusief van toepassing op alle bestellingen, herstellingen, overeenkomsten en leveringen gedaan door Better Kitchen Equipment Belux B.V.
  2. Afwijkingen kunnen enkel schriftelijk en wederzijds worden overeengekomen.
  3. De voorwaarden van Better Kitchen Equipment Belux B.V. hebben steeds voorrang op eventuele voorwaarden van de medecontractant.
  4. Door het accepteren van een aanbod, het plaatsen van een bestelling of het geven van een opdracht, aanvaardt de koper deze voorwaarden uitdrukkelijk en onherroepelijk zonder voorbehoud.

Artikel 1 bis – Afwijkingen

  1. Indien na onderling overleg op bepaalde punten schriftelijk van deze voorwaarden wordt afgeweken, blijven de overige bepalingen van kracht.
  2. Toezeggingen van vertegenwoordigers, reizigers of ander personeel zijn slechts bindend indien deze schriftelijk door Better Kitchen Equipment Belux B.V. zijn bevestigd.

Artikel 2 – Aanbiedingen en bevestiging

  1. Alle aanbiedingen van Better Kitchen Equipment Belux B.V. zijn vrijblijvend.
  2. Verplichtingen ontstaan pas nadat een bestelling schriftelijk is bevestigd en een voorschot in speciën is ontvangen.

Artikel 3 – Prijswijzigingen

  1. Wijzigingen in belastingen, invoerrechten, wisselkoersen, verzekeringen en andere prijselementen die plaatsvinden na het sluiten van de overeenkomst maar vóór levering, komen ten voordele of nadele van de koper.

Artikel 3 bis – Prijsaanpassingen

  1. De koper aanvaardt dat Better Kitchen Equipment Belux B.V. de overeengekomen prijs kan verhogen indien kosten van materialen, transport, lonen of sociale lasten zijn gestegen sinds de datum van de overeenkomst.
  2. Een dergelijke prijsverhoging wordt schriftelijk en gemotiveerd meegedeeld en is bindend voor de koper.

Artikel 4 – Leveringstermijnen

  1. Opgegeven leveringstermijnen zijn indicatief.
  2. Better Kitchen Equipment Belux B.V. kan niet aansprakelijk worden gesteld voor nadelige gevolgen van eventuele vertragingen.

Artikel 5 – Levering en risico-overdracht

  1. Alle goederen worden als geleverd beschouwd in de magazijnen van Better Kitchen Equipment Belux B.V.
  2. De koper staat in voor transport en de kosten hiervan.
  3. Aanvaarding van de goederen gebeurt vóór belading in de magazijnen. Vanaf de belading gaat het risico over op de koper.

Artikel 5 bis – Niet-afname

  1. Indien levering door de ontvanger wordt geweigerd of niet wordt afgehaald, zijn de opslag- en onderhoudskosten volledig ten laste van de koper.

Artikel 6 – Eenzijdige verbreking

  1. Bij eenzijdige verbreking van het contract door de koper, hetzij door wanbetaling of laattijdige betaling, is de koper een forfaitaire schadevergoeding verschuldigd van 1/3 van de verkoopprijs, vermeerderd met alle kosten en lasten.

Artikel 6 bis – Wanbetaling

  1. Bij invordering langs gerechtelijke of buitengerechtelijke weg wordt de vordering forfaitair verhoogd met 10% van de verkoopprijs (minimum €125).
  2. Alle bijkomende kosten zijn ten laste van de koper.

Artikel 6 ter – Administratieve kosten

  1. De forfaitaire vergoeding dekt de bijkomende administratieve kosten van debiteurenbewaking en fondsenbeschikbaarheid.
  2. Deze vergoeding blijft verschuldigd, ook indien enkel de hoofdsom later wordt betaald.

Artikel 6 quarter – Opschorting leveringen

  1. Laattijdige betaling geeft Better Kitchen Equipment Belux B.V. het recht om zonder ingebrekestelling verdere leveringen stop te zetten.

Artikel 7 – Betaling

  1. Betaling dient contant te gebeuren op factuurdatum.
  2. Bij wanbetaling wordt van rechtswege en zonder ingebrekestelling 1% rente per maand aangerekend vanaf de factuurdatum.

Artikel 8 – Klachten

  1. Klachten moeten schriftelijk, gemotiveerd en aangetekend binnen acht dagen na levering worden ingediend.

Artikel 8 bis – Garantievoorwaarden

  1. Een eventueel overeengekomen waarborg vervalt indien de onderhoudsvoorschriften niet werden nageleefd, bij verkeerd gebruik of bij herstellingen/aanpassingen door derden zonder schriftelijke toestemming van Better Kitchen Equipment Belux B.V.

Artikel 8 ter – Garantiebewijzen

  1. Indien fabrieks- of eigen garantiebewijzen worden afgegeven, zijn deze bepalend.
  2. Garantie vervalt indien derden zonder toestemming werken uitvoeren aan het geleverde.

Artikel 9 – Aansprakelijkheid

  1. Better Kitchen Equipment Belux B.V. is niet aansprakelijk voor schade door vertraging of niet-uitvoering van orders door oorzaken buiten haar macht.
  2. Zij is evenmin aansprakelijk voor wanprestatie van leveranciers.

Artikel 10 – Beperking van aansprakelijkheid

  1. De goede werking van geleverde producten wordt gegarandeerd conform prijslijsten, circulaires en contracten.
  2. Better Kitchen Equipment Belux B.V. is nooit aansprakelijk voor bedrijfs-, productie- of andere gevolgschade aan koper, personen of eigendommen.

Artikel 10 bis – Verborgen en zichtbare gebreken

  1. Voor zichtbare gebreken vervalt elke waarborg vanaf de aanvaarding in de magazijnen.
  2. Voor verborgen gebreken kan enkel beroep worden gedaan op vervanging door gelijkwaardige goederen, mits gemotiveerde en aangetekende klacht binnen acht dagen na levering.
  3. Enkel transportkosten en werkuren zijn ten laste van de koper.

Artikel 11 – Eigendomsvoorbehoud

  1. Geleverde goederen blijven eigendom van Better Kitchen Equipment Belux B.V. tot volledige betaling van hoofdsom, kosten en intresten.
  2. De koper draagt vanaf levering elk risico op verlies of beschadiging.
  3. Zonder toestemming mag de koper goederen niet doorverkopen of overdragen vóór volledige betaling.
  4. Bij wanbetaling behoudt Better Kitchen Equipment Belux B.V. het recht om de goederen terug te nemen, waar zij zich ook bevinden.

Artikel 11 bis – Faillissement of stillegging

  1. De koper wordt slechts eigenaar na volledige betaling.
  2. Bij faillissement of stillegging van de activiteiten behoudt Better Kitchen Equipment Belux B.V. het recht op onmiddellijke terugname.

Artikel 12 – Toepasselijk recht en bevoegde rechtbank

  1. In geval van betwisting zijn uitsluitend de rechtbanken van Antwerpen bevoegd.
  2. Het Belgisch recht is van toepassing.

Artikel 12 bis – Expertise

  1. Bij minnelijke of gerechtelijke expertise betreffende gebreken dient het onderzoek plaats te vinden in de magazijnen van Better Kitchen Equipment Belux B.V., gevestigd aan Fotografielaan 12, 2610 Antwerpen-Wilrijk.

Article 1 – Applicabilité

  1. Les présentes conditions générales s'appliquent exclusivement à toutes les commandes, réparations, accords et livraisons effectués par Better Kitchen Equipment Belux B.V.
  2. Les dérogations ne peuvent être convenues que par écrit.
  3. Les conditions générales de Better Kitchen Equipment Belux B.V. prévalent toujours sur les conditions générales du cocontractant.
  4. En acceptant une offre, en passant une commande ou en passant une commande, l'acheteur accepte expressément et irrévocablement les présentes conditions générales sans réserve.

Article 1 bis – Dérogations

  1. Si, après consultation mutuelle, il y a une dérogation écrite aux présentes conditions générales, les autres dispositions resteront en vigueur.
  2. Les engagements des représentants, des voyageurs ou d'autres membres du personnel ne sont contraignants que s'ils ont été confirmés par écrit par Better Kitchen Equipment Belux B.V.

Article 2 – Offres et confirmation

  1. Toutes les offres de Better Kitchen Equipment Belux B.V. sont sans engagement.
  2. Les obligations ne naissent qu'après confirmation écrite de la commande et réception d'une avance en numéraire.

Article 3 – Modifications de prix

  1. Les modifications des taxes, des droits d'importation, des taux de change, des assurances et d'autres éléments de prix qui ont lieu après la conclusion du contrat mais avant la livraison seront à l'avantage ou au désavantage de l'acheteur.

Article 3 bis – Ajustements de prix

  1. L'acheteur accepte que Better Kitchen Equipment Belux B.V. puisse augmenter le prix convenu si les coûts des matériaux, du transport, des salaires ou des cotisations de sécurité sociale ont augmenté depuis la date du contrat.
  2. Une telle augmentation de prix sera communiquée par écrit et motivée et lie l'acheteur.

Article 4 – Délais de livraison

  1. Les délais de livraison indiqués sont indicatifs.
  2. Better Kitchen Equipment Belux B.V. ne peut être tenu responsable des conséquences négatives d'un éventuel retard.

Article 5 – Livraison et transfert des risques

  1. Toutes les marchandises sont considérées comme livrées dans les entrepôts de Better Kitchen Equipment Belux B.V.
  2. L'acheteur est responsable du transport et des frais de transport.
  3. La réception de la marchandise a lieu avant le chargement dans les entrepôts. À partir du moment du chargement, le risque est transféré à l'acheteur.

Article 5 bis – Non-collecte

  1. En cas de refus de livraison par le destinataire ou d'absence d'enlèvement, les frais de stockage et d'entretien sont entièrement à la charge de l'acheteur.

Article 6 – Résiliation unilatérale

  1. En cas de résiliation unilatérale du contrat par l'acheteur, soit pour non-paiement, soit pour retard de paiement, l'acheteur sera redevable d'une indemnité forfaitaire de 1/3 du prix de vente, majoré de tous les frais et charges.

Article 6a – Défaut

  1. En cas de recouvrement judiciaire ou extrajudiciaire, la créance est majorée d'une somme forfaitaire de 10 % du prix de vente (minimum 125 €).
  2. Tous les frais supplémentaires sont à la charge de l'acheteur.

Article 6 ter – Frais administratifs

  1. La redevance forfaitaire couvre les frais administratifs supplémentaires liés au suivi des débiteurs et à la disponibilité des fonds.
  2. Cette redevance reste due, même si seule la somme principale est payée ultérieurement.

Article 6 quater – Suspension des livraisons

  1. En cas de retard de paiement, Better Kitchen Equipment Belux B.V. a le droit d'arrêter les livraisons sans mise en demeure.

 Article 7 – Paiement

  1. Le paiement doit être effectué en espèces à la date de la facture.
  2. En cas de non-paiement, un intérêt de 1 % par mois sera facturé de plein droit et sans mise en demeure à compter de la date de facturation.

Article 8 – Réclamations

  1. Les réclamations doivent être formulées par écrit, motivées et par courrier recommandé dans les huit jours suivant la livraison.

Article 8a – Conditions de garantie

  1. Toute garantie convenue expirera si les instructions d'entretien n'ont pas été respectées, en cas d'utilisation incorrecte ou en cas de réparations/ajustements par des tiers sans l'autorisation écrite de Better Kitchen Equipment Belux B.V.

Article 8b – Certificats de garantie

  1. Si des certificats de garantie du fabricant ou de son propre chef sont délivrés, ceux-ci sont décisifs.
  2. La garantie expire si des tiers effectuent des travaux sur les marchandises livrées sans autorisation.

Article 9 – Responsabilité

  1. Better Kitchen Equipment Belux B.V. n'est pas responsable des dommages dus à un retard ou à l'inexécution des commandes pour des raisons indépendantes de sa volonté.
  2. Il n'est pas non plus responsable de la violation du contrat par les fournisseurs.

Article 10 – Limitation de responsabilité

  1. Le bon fonctionnement des produits livrés est garanti conformément aux listes de prix, circulaires et contrats.
  2. Better Kitchen Equipment Belux B.V. n'est jamais responsable des dommages rentables, de production ou autres dommages indirects causés à l'acheteur, aux personnes ou aux biens.

Article 10 bis – Vices cachés et apparents

  1. Pour les vices apparents, toute garantie est nulle à partir du moment où elle est acceptée dans les entrepôts.
  2. Pour les vices cachés, le remplacement par une marchandise équivalente ne peut être invoqué que sous réserve d'une réclamation motivée et enregistrée dans les huit jours suivant la livraison.
  3. Seuls les frais de transport et les heures de travail sont à la charge de l'acheteur.

Article 11 – Réserve de propriété

  1. Les marchandises livrées restent la propriété de Better Kitchen Equipment Belux B.V. jusqu'au paiement intégral du principal, des frais et des intérêts.
  2. L'acheteur supporte tout risque de perte ou de dommage à partir du moment de la livraison.
  3. Sans autorisation, l'acheteur ne peut pas revendre ou transférer des marchandises avant le paiement intégral.
  4. En cas de non-paiement, Better Kitchen Equipment Belux B.V. se réserve le droit de reprendre les marchandises, où qu'elles se trouvent.

Article 11a – Faillite ou fermeture

  1. L'acheteur ne devient propriétaire qu'après paiement intégral.
  2. En cas de faillite ou de cessation d'activités, Better Kitchen Equipment Belux B.V. se réserve le droit de reprendre immédiatement possession.

Article 12 – Droit applicable et tribunal compétent

  1. En cas de litige, les tribunaux d'Anvers sont seuls compétents.
  2. Le droit belge s'applique.

Article 12 bis – Avis d'expert

  1. En cas d'expertise amiable ou judiciaire concernant des défauts, l'enquête doit avoir lieu dans les entrepôts de Better Kitchen Equipment Belux B.V., situés à Fotografielaan 12, 2610 Antwerp-Wilrijk.

Article 1 – Applicability

  1. These terms and conditions apply exclusively to all orders, repairs, agreements and deliveries made by Better Kitchen Equipment Belux B.V.
  2. Deviations can only be mutually agreed upon in writing.
  3. The terms and conditions of Better Kitchen Equipment Belux B.V. always take precedence over any terms and conditions of the co-contractor.
  4. By accepting an offer, placing an order or placing an order, the buyer expressly and irrevocably accepts these terms and conditions without reservation.

Article 1a – Derogations

  1. If, after mutual consultation, there is a written deviation from these terms and conditions, the other provisions will remain in force.
  2. Commitments by representatives, travelers or other staff are only binding if they have been confirmed in writing by Better Kitchen Equipment Belux B.V.

Article 2 – Offers and confirmation

  1. All offers from Better Kitchen Equipment Belux B.V. are without obligation.
  2. Obligations only arise after an order has been confirmed in writing and an advance in cash has been received.

Article 3 – Price changes

  1. Changes in taxes, import duties, exchange rates, insurance and other price elements that take place after the conclusion of the contract but before delivery will be for the benefit or disadvantage of the buyer.

Article 3a – Price adjustments

  1. The buyer accepts that Better Kitchen Equipment Belux B.V. may increase the agreed price if costs of materials, transport, wages or social security contributions have increased since the date of the agreement.
  2. Such a price increase will be communicated in writing and with reasons and is binding on the buyer.

Article 4 – Delivery times

  1. Specified delivery times are indicative.
  2. Better Kitchen Equipment Belux B.V. cannot be held liable for any adverse consequences of any delays.

Article 5 – Delivery and transfer of risk

  1. All goods are considered delivered in the warehouses of Better Kitchen Equipment Belux B.V.
  2. The buyer is responsible for transport and the costs thereof.
  3. Acceptance of the goods takes place before loading in the warehouses. From the moment of loading, the risk is transferred to the buyer.

Article 5a – Non-collection

  1. If delivery is refused by the recipient or is not collected, the storage and maintenance costs are entirely borne by the buyer.

Article 6 – Unilateral termination

  1. In the event of unilateral termination of the contract by the buyer, either due to non-payment or late payment, the buyer will owe a lump sum compensation of 1/3 of the sale price, plus all costs and charges.

Article 6a – Default

  1. In the event of judicial or extrajudicial collection, the claim is increased by a lump sum of 10% of the sales price (minimum €125).
  2. All additional costs are at the expense of the buyer.

Article 6b – Administrative costs

  1. The flat-rate fee covers the additional administrative costs of debtor monitoring and fund availability.
  2. This fee remains due, even if only the principal sum is paid later.

Article 6 quarter – Suspension of deliveries

  1. Late payment gives Better Kitchen Equipment Belux B.V. the right to stop further deliveries without notice of default.

Article 7 – Payment

  1. Payment must be made in cash on the invoice date.
  2. In the event of non-payment, 1% interest per month will be charged by operation of law and without notice of default from the invoice date.

Article 8 – Complaints

  1. Complaints must be submitted in writing, stating reasons and by registered mail within eight days of delivery.

Article 8a – Warranty conditions

  1. Any agreed warranty will expire if the maintenance instructions have not been complied with, in the event of incorrect use or in the event of repairs/adjustments by third parties without the written permission of Better Kitchen Equipment Belux B.V.

Article 8b – Guarantee certificates

  1. If manufacturer's or own warranty certificates are issued, these are decisive.
  2. Warranty expires if third parties carry out work on the delivered goods without permission.

Article 9 – Liability

  1. Better Kitchen Equipment Belux B.V. is not liable for damage due to delay or non-execution of orders due to causes beyond its control.
  2. Nor is it liable for breach of contract by suppliers.

Article 10 – Limitation of liability

  1. The proper functioning of the delivered products is guaranteed in accordance with price lists, circulars and contracts.
  2. Better Kitchen Equipment Belux B.V. is never liable for profitable, production or other consequential damage to the buyer, persons or property.

Article 10a – Hidden and visible defects

  1. For visible defects, any warranty is void from the moment it is accepted in the warehouses.
  2. For hidden defects, replacement with equivalent goods can only be invoked, subject to a motivated and registered complaint within eight days of delivery.
  3. Only transport costs and working hours are at the expense of the buyer.

Article 11 – Retention of title

  1. Delivered goods remain the property of Better Kitchen Equipment Belux B.V. until full payment of principal, costs and interest.
  2. The buyer bears any risk of loss or damage from the moment of delivery.
  3. Without permission, the buyer may not resell or transfer goods before full payment.
  4. In the event of non-payment, Better Kitchen Equipment Belux B.V. reserves the right to take back the goods, wherever they are.

Article 11a – Bankruptcy or closure

  1. The buyer only becomes the owner after full payment.
  2. In the event of bankruptcy or cessation of activities, Better Kitchen Equipment Belux B.V. reserves the right to immediate repossession.

Article 12 – Applicable law and competent court

  1. In the event of a dispute, the courts of Antwerp shall have exclusive jurisdiction.
  2. Belgian law applies.

Article 12a – Expert opinion

  1. In the event of an amicable or judicial expertise regarding defects, the investigation must take place in the warehouses of Better Kitchen Equipment Belux B.V., located at Fotografielaan 12, 2610 Antwerp-Wilrijk.
